Free zones in the UAE remain a symbol of free enterprise, but to enjoy the relief and the 0% tax rate, free zone companies need to comply with the general rules and reporting standards of their specific jurisdiction.

Financial reporting standards in free zones

Every company in the UAE, regardless of jurisdiction, is required to keep ongoing accounting records and file the documentation required for its status on time. For companies with QFZP (Qualifying Free Zone Person) status an annual audit is additionally mandatory.

Audit requirements can vary between jurisdictions, but there are also common standards:

  • Reports are prepared to international IFRS standards, and companies with turnover of up to AED 50 million a year can use the simplified IFRS for SMEs version.
  • Only a licensed firm approved to work specifically in your free zone can serve as the auditor.
  • The reporting deadline is usually set within 6 months of the end of the financial year.
Simplified reporting: companies with turnover under AED 3 million a year and fewer than 9 staff can file reports in a simplified form and don't need to undergo a full audit every year.

In free zones, the Corporate Tax return is filed within 9 months of the end of the financial year, and VAT returns are filed quarterly or monthly, depending on the company's status.

Other conditions for keeping QFZP relief

Beyond ongoing bookkeeping and filing returns on time, a company must earn qualifying income consistent with the free zone's specialization, comply with transfer pricing rules, keep IFRS-compliant records and undergo audits, and have sufficient economic substance in the UAE — a genuine office in the country, the staff needed for the declared activity, and corresponding corporate expenses.

Breaching these rules leads to losing QFZP status for 5 years (the current financial year plus the next 4) — throughout that time, the standard 9% rate applies to the company's profit.

What changed in 2026

The key change for UAE residents registered both on the mainland and in free zones is the introduction of mandatory e-invoicing: the gradual rollout of universal e-invoicing begins in the third quarter of 2026, with the largest companies required to complete the transition by 2027. The conditions for VAT refunds and the size of fines have also changed: from April 2026, late payments will incur 14% annual interest on the tax amount, and errors in a return will incur a fine starting from 15%.

Bottom line

Sound bookkeeping and filing reports on time are essential conditions for keeping the benefits of free zone residency: the relief rate and QFZP status don't apply "by default" — they need to be earned through disciplined reporting every year.

Frequently asked questions
Is an annual audit mandatory for every free zone company?
No — it's mandatory for companies with QFZP status. Companies with turnover under AED 3 million a year and fewer than 9 staff can file reports in a simplified form without a full annual audit.
What happens if a company breaches the conditions for keeping QFZP status?
The company loses QFZP status for 5 years — the current financial year plus the next 4 — and pays Corporate Tax at the standard 9% rate instead of the 0% relief rate throughout that time.
By when is the Corporate Tax return filed in a free zone?
Within 9 months of the end of the financial year. VAT returns are filed separately — quarterly or monthly, depending on the company's status.
Who can audit a company in a free zone?
Only a licensed audit firm approved to work specifically in that particular free zone — auditor accreditation requirements can vary between jurisdictions.
How will VAT fines change from April 2026?
Late payments will incur 14% annual interest on the tax amount, and errors in a return will incur a fine starting from 15%. This applies to every VAT payer, including free zone companies.
